Terms of Service
These are the terms on which a clinic uses Seneca. The privacy notice covers information about you. The processing agreement, which you accept when you set up your practice, covers the information about the people you assess.
1. Who these terms are between
These terms are between the clinic or practice that sets up a Seneca account ("you") and Daniel O'Loughlin, trading as Seneca ("we", "us"). They are for professional use by clinicians. They are not for consumers.
You accept them when you accept the processing agreement, on behalf of your clinic. The person who accepts confirms that they have authority to bind the clinic.
If these terms and the processing agreement conflict about personal data, the processing agreement wins.
2. What Seneca is
Seneca is a documentation tool. You carry out the assessment and enter or upload what you gathered, and Seneca writes a first draft of the report from it. You review every section, edit it and sign it off.
Seneca does not assess anyone, does not diagnose, and does not decide what a report concludes. It does not issue or send a report. You do.
3. Who is responsible for what
You are the author of every report you sign off. You are responsible for its clinical content and its conclusions, for the accuracy of what you enter and upload, and for deciding whether and when a report is issued.
A draft can be wrong or incomplete. Statements of fact in a draft may be false, incomplete or misleading, and must not be relied on until you have checked them against the record. Reading each section against the record, correcting it and signing it off is your job, and it is the reason the report is yours. Do not sign a section you have not read.
You confirm that you hold the professional qualifications and registrations your work requires, and that you are entitled to process the information you put into Seneca.
As between you and us, you are responsible for any claim by an assessed person or their family about the clinical content of a report you signed off, except to the extent that the claim was caused by our breach of these terms or of the processing agreement.
4. What we promise about the service
We will provide Seneca with reasonable skill and care.
We do not promise that a draft is accurate, complete, or suitable for a particular case. We do not promise that the service will always be available or free of errors. Keep your own copy of every report you finish by exporting it.
Nothing in these terms takes away a right you have by law that cannot lawfully be taken away.
5. How you may use Seneca
Use Seneca only to prepare assessment documentation for people you are professionally responsible for assessing.
Do not use Seneca, or anything it produces, to diagnose, screen, predict or make a decision about anyone without your own clinical judgement. Do not present a draft as a finished report before you have signed it off.
Each person who uses Seneca needs their own account. Do not share a login. Keep your credentials and your second-factor device secure, and tell us promptly if you think an account has been used by someone else.
Do not upload anything unrelated to an assessment, anything you have no right to upload, or anything unlawful. Do not copy, reverse engineer, scrape or resell the service, and do not try to get around its security or its limits.
6. Your data and ours
The processing agreement governs the personal data you put into Seneca. As between you and us, the records, reports and text you produce are yours, and we claim no rights in them.
You give us permission to process your content, using the providers listed in the sub-processor register, only so far as is needed to provide the service to you.
Seneca's software, prompts, design and brand belong to us. You get a right to use the service while your account is open. You get nothing else.
7. Price
The price of a credit or a pack of credits is the price shown to you when you buy. We may change prices for future purchases. A change does not affect credits you have already bought.
8. Suspension and ending
You can stop using Seneca at any time. Export what you need first. What happens to your data when your account ends is set out in clause 9 of the processing agreement.
We may suspend an account if it is used in breach of these terms, if it puts the security of the service or anyone's data at risk, or if the law requires it. Where we can, we will tell you why and give you a chance to put it right first.
9. Liability
Clause 11 of the processing agreement sets the most either of us can claim from the other. It applies to every claim under these terms as well as under the processing agreement, and the limits there are the only limits. They are not added together.
For a claim that is not a data protection claim, that limit is the greater of the fees you paid in the twelve months before the first event and €5,000.
Nothing in these terms limits liability that the law does not allow to be limited, including liability for fraud or for death or personal injury caused by negligence.
10. Governing law
These terms are governed by the laws of Ireland, and the Irish courts have jurisdiction.
11. Changes to these terms
If we change these terms, we will email the account holder at least 30 days before the change takes effect and update the date on this page. If you do not agree to a change, you can end your account before it takes effect.
